About the Team

The Legal Department is responsible for utilizing the law, contracts, and business judgment to help IMG meet its goals by effectively balancing business and legal risks.

The Role

The IMG Legal Department seeks an Associate Counsel to join the Fashion and Models legal group. The position reports to the Head of Legal for Fashion and Models.  This highly dynamic transactional role will entail structuring, reviewing, drafting and negotiating deals for IMG's Fashion and Models divisions. The ideal candidate is highly self-motivated and adept at spotting and analyzing complex legal and business issues on a deal-by-deal basis, as well as executing a broader strategy to maintain the delivery of high-quality legal service. This position is located in New York City. 

Job Description

  • Support the Fashion and Models legal team by taking responsibility for drafting and negotiating a broad range of agreements relating to Fashion Week and other fashion events, including sponsor, designer and vendor agreements.
  • Review and negotiate a broad range of talent agreements for IMG Models, including representation agreements, endorsement, licensing and merchandising deals and personal appearances.
  • Assist the Fashion and Models legal team and the businesses with the management of IP rights, including trademarks, drafting cease and desist letters and advising on other IP and contract-related disputes.
  • Draft and review contest rules and sweepstakes and assist in maintaining digital rights.
  • Research and analyze statutes, judicial decisions, legal articles, treaties, constitutions, and legal codes in order to advise business units.
  • Apply innovative problem-solving skills and practical business judgment to balance IMG's business needs and acceptable levels of risk.
  • Help refine and implement policies, procedures and training to ensure an efficient and effective contract administrative process.
  • Other duties as assigned.

Qualifications

  • JD from an ABA accredited law school.
  • Admitted to NY Bar (or another state bar permissible under NY in-house counsel rules).
  • Minimum 2 years of legal experience
  • Intellectual property background or experience within the fashion industry is a plus.
  • Excellent interpersonal and communication skills and ability to interact with a range of personalities and styles in a fast-paced business environment.
  • Cool under pressure.
  • Effective problem-solving approach;
  • Strong negotiation skills and excellent drafting and analytical skills;

Associate Counsel - Global Partnerships (New York, NY)

The Role

The Legal Department is responsible for utilizing the law, contracts, and business judgment to help IMG meet its goals by effectively balancing business and legal risks.  IMG Legal is currently seeking an Associate Counsel to support the Global Partnerships division.  This position is located in New York, NY and reports to the Vice President and Counsel.  The ideal candidate has transactional experience at a top law firm and/or in-house practice, including commercial transactions, advertising, marketing, event production and digital experience. 

The Global Partnerships division helps global brands leverage all aspects of culture creating an experience for their consumers and fan engagement, including brand management and solutions, experiential marketing, activations, strategic consulting services, public relations, communications, digital consulting, creative ideation and design, branded content development and production, event management and production, digital and social campaigns, influencer programs, naming rights, partnerships, and sponsorships.

 

Position Key Attributes

  • Drafting and negotiating a wide range of complex commercial contracts, including consulting, master services, statements of work, talent, influencer, representation, licensing, creative services, sponsorship, vendor, marketing, digital services, and production agreements, including participation and guest releases, photo releases, waivers, location, rental and venue agreements.
  • Providing legal counsel, issue spotting and analyzing complex legal and business issues.
  • Reviewing creative and marketing materials for compliance with FTC and other laws and regulations, and providing risk analysis and assessment.
  • Advising the business unit on clearance and rights issues for the use of third party materials in marketing and promotional materials.
  • Assist legal team in proper indexing and filing of legal documents; ensure an efficient and effective contract administrative and document management process.
  • Research, manage and track existing contractual obligations, including compliance with existing contractual obligations and evaluating exclusivity requirements.
  • Participate in special projects and other duties as assigned. 

 

Qualifications

  • JD from an ABA accredited law school. Admitted to NY Bar (or another state bar permissible under NY in-house counsel rules).
  • Minimum of 3-4 years of legal experience, preferably with experience in the entertainment, sports or media industry.
  • PC Skills including (but not limited to) Advanced Word, Excel, Access, and PowerPoint.
  • Strong written and oral communication skills.
  • Must be detail oriented, highly organized and thorough.
  • Ability to handle multiple assignments and deadlines with accuracy.
  • Have strong negotiation, drafting and analytical skills.

Associate Counsel - IMG Original Content (New York, NY)

IMG seeks a talented and highly-motivated lawyer to add to its business and legal affairs department in its New York City office.  This position will report to the VP, Associate General Counsel and will take responsibility for structuring, reviewing, drafting and negotiating deals for IMG’s Original Content division, which produces a wide range of entertainment, live event, sports, variety and unscripted and scripted television, digital, radio and film programming.

Responsibilities

  • Responsible for handling all legal matters surrounding IMG’s television development, production and distribution projects on a day to day basis, including drafting and negotiating: development/attachment agreements with producers and talent, broadcast/license agreements with television networks and other content distributors, various production releases, co-production agreements, talent/crew agreements (e.g., directors, writers, actors, below-the-line production services, etc.), format licenses, distribution agreements, and various contractor and vendor agreements.
  • Coordinate with IMG risk management to ensure coverage; coordinate with IMG finance with respect to project budgets/payments/collections; advise on clearance matters; evaluating intellectual property rights/chain of title issues.
  • Act as an entrepreneurial business partner with, and provide decision-making support and guidance on strategic and budgetary issues to, IMG’s Original Content executives.
  • Apply innovative problem-solving skills and practical business judgment to balance IMG’s business needs and acceptable levels of risk.
  • Foster positive long-term internal business client and external customer relationships.
  • Familiarity with music rights/issues, theatrical and/or feature films a plus


Qualifications

  • JD from an ABA accredited law school.
  • Admitted to NY Bar (or another state bar permissible under NY in-house counsel rules).
  • Minimum 3-4 years of transactional legal experience, ideally with at least 2 of those years spent focusing on unscripted television programming in-house at a television production company, television network or media company, or comparable experience within an entertainment law firm.
  • Experience in some or all of the following areas is highly desired: drafting and negotiating broadcast/license/production services agreements between production companies and television networks distributing the shows; intellectual property; First Amendment issues; film finance; pre-broadcast clearance review; FCC matters; guild/union (e.g., DGA, SAG-AFTRA, WGA, IATSE) and non-union labor and employment law; and/or legal production work related to scripted audiovisual content.
  • Excellent interpersonal and communication skills which will enable him/her to interact with a range of personalities and styles in a fast-paced business environment and to work effectively with people at many different levels (including senior executives, television network executives/business affairs, show creators, producers, artists, other attorneys, in-house client divisions and outside production staff); have an effective problem-solving approach; have strong negotiation skills and excellent drafting and analytical skills; be well-organized and have a strong work ethic.
  • An upbeat temperament, dynamic personality and highly team-oriented approach to work.
